Terms and Conditions

These Terms and Conditions govern the purchase and use of courses, educational services, admissions consulting services, digital products and related services offered under the Iteros brand.

Iteros is operated by MODULUS FCT SRL, with registered office at Corso di Porta Nuova 16, 20121 Milan, Italy (“Iteros”, “we”, “us”, or the “Company”).

VAT / Reg.14749670965 / MI-2805070

By purchasing a Course or Service, the purchaser confirms that they have read and accepted these Terms and Conditions.

The terms, in full.

Article by article, the complete terms governing your purchase.

Article 1 – Scope and Definitions

1.1 Scope

These Terms and Conditions govern the contractual relationship between Iteros and any person purchasing or using a course, educational product, admissions consulting service or other service offered by Iteros.

For purposes of these Terms:

  • “Consumer” means a natural person acting for purposes outside their trade, business, craft or profession;
  • “Student” means the person participating in or benefiting from the Course or Service;
  • “Course” means any test-preparation, academic-preparation or other educational course offered by Iteros;
  • “Service” means any Course, admissions consulting service, tutoring service, digital product, workshop, bootcamp or other service offered by Iteros;
  • “Platform” means any digital learning environment, website, application or third-party service through which Course materials or Services are delivered;
  • “Course Content” includes lessons, recordings, questions, exercises, explanations, presentations, documents, videos, audio, diagrams, methodologies and any other educational materials made available by Iteros.

Where the purchaser and the Student are different persons, the purchaser is the contracting party and remains responsible for all payment obligations.

1.2 Description of Services

The specific characteristics of each Course or Service — including its content, format, duration, price, approximate schedule, included teaching hours, materials and access period — are described on the relevant product page, order form, offer or other written commercial documentation provided by Iteros.

Those product-specific terms form part of the contract. In the event of a conflict between these Terms and expressly stated product-specific terms, the product-specific terms shall prevail with respect to the relevant Course or Service.

1.3 Language

Iteros Courses are delivered exclusively in English. The Student is responsible for ensuring that their English-language ability is sufficient to participate effectively. Unless expressly stated otherwise for a specific Course, Iteros does not require evidence of a formal language qualification.

1.4 No affiliation with examination bodies

Unless expressly stated otherwise, Iteros is an independent educational provider. Official examination fees, university application fees, score-report fees, rescheduling charges, travel expenses and any other third-party costs are not included in the Course price.

Iteros does not control official examination dates, test-centre availability, university admissions procedures or decisions, or changes introduced by examination bodies, universities or other third parties.

Article 2 – Registration and Formation of the Contract

2.1 Registration

Registration may take place through the Iteros website or through another purchasing or enrolment process expressly made available by Iteros.

An order or registration request constitutes an offer by the purchaser to acquire the relevant Course or Service. The contract is concluded when Iteros confirms the enrolment or purchase in writing, normally by email.

2.2 Accuracy of information

The purchaser and Student must provide complete and accurate information during registration.

Iteros is not responsible for any failure or delay in providing Services caused by incorrect, incomplete or outdated information supplied by the purchaser or Student. The Student must promptly notify Iteros of any change to relevant contact information.

2.3 Minors

Where the Student is under 18, the Course or Service must be purchased by a parent, guardian or other adult legally entitled to enter into the contract on the Student’s behalf. The adult purchaser is the contractual counterparty of Iteros and is responsible for payment and compliance with these Terms, while the minor is the beneficiary of the Service.

2.4 Capacity and availability

Courses may have limited capacity. Iteros may refuse or decline an enrolment before confirmation, including where:

  • the Course is full;
  • the Course is unavailable;
  • technical or pricing errors have occurred;
  • eligibility requirements for a specific Service have not been satisfied; or
  • accepting the enrolment would prevent Iteros from delivering the Service appropriately.

Any payment already collected in respect of an enrolment that Iteros does not accept will be returned.

Article 3 – Prices and Payment

3.1 Prices

The price applicable to a Course or Service is the price communicated at the time of purchase. Unless expressly stated otherwise, prices offered to Consumers include applicable VAT or other mandatory taxes.

3.2 Payment

The Student may access only the payment methods made available by Iteros at the time of purchase. Unless an instalment plan has expressly been agreed, the full price must be paid before the Course or Service begins.

3.3 Instalments

Where Iteros permits payment in instalments, this constitutes a payment facility and does not convert the purchase into separate purchases of individual lessons, months or modules. The Student remains responsible for the full agreed price of the Course or Service.

If an instalment is not paid when due, Iteros may, subject to applicable law:

  • a. suspend access to lessons, Platforms and Course Content until payment is regularised;
  • b. suspend the provision of consulting or other Services;
  • c. require payment of outstanding amounts due under the agreed payment schedule; and
  • d. take reasonable steps to recover sums lawfully due.

Suspension resulting from non-payment does not extend the Course duration or applicable access periods.

3.4 Third-party payment providers

Where payment is made through a third-party payment or instalment provider, the Student may also be subject to that provider's terms. Iteros is not responsible for decisions taken independently by a payment provider, including approval or refusal of instalment facilities.

3.5 Promotions and discounts

Discount codes, promotions, scholarships, vouchers or special commercial offers are subject to the conditions stated when they are offered. Unless expressly permitted, promotions and discounts cannot be combined.

Article 4 – Onboarding and Communications

4.1 Onboarding

Following successful enrolment, Iteros may send the Student instructions concerning:

  • Platform registration;
  • Course access;
  • schedules;
  • communication channels;
  • learning materials;
  • diagnostic tests;
  • tutor contact;
  • assignments; and
  • other practical requirements.

The Student is responsible for completing required onboarding steps promptly.

4.2 Communication channels

Official Course communications may be sent by email and/or through the Platform or communication system designated by Iteros. The Student is responsible for monitoring those channels regularly.

4.3 Failure to receive information

If the Student reasonably expects information required to participate in a Course but has not received it, the Student must contact Iteros promptly. Iteros will not be responsible for missed lessons or Services where the relevant information was correctly sent to the contact details supplied by the Student and the Student failed to monitor those communications.

Article 5 – Course Scheduling and Participation

5.1 Individual Courses and Lessons

Individual lessons are scheduled between the Student and Iteros or the assigned tutor, subject to tutor availability.

A Student wishing to reschedule an individual lesson must give at least 24 hours notice, unless different notice requirements have been expressly agreed.

Where notice is given less than 24 hours before the scheduled lesson, the lesson may, at Iteros’ discretion, be treated as delivered and deducted from the Student's remaining hours.

If the Student is more than 15 minutes late, the tutor may, at their discretion, cancel the lesson and treat it as delivered. Where the lesson proceeds despite the Student being late, it will end at the originally scheduled time. If the Student fails to attend within 15 minutes after the scheduled start time without prior agreement, the lesson may, at a tutor’s discretion, be treated as a no-show and as having been delivered.

5.2 Group Courses

Group Course schedules are determined by Iteros.

A Student who is unable to attend a group lesson is not entitled to an individual replacement lesson or to the rescheduling of the group lesson. Where a recording is made available, access to that recording constitutes the means of recovering the missed lesson.

If all members of a group fail to attend a scheduled lesson, Iteros is not obliged to reschedule it.

A Student joining a Course after it has begun may receive access to previous Course materials or recordings where available but is not entitled to individual replacement teaching for lessons that occurred before joining.

5.3 Changes to schedules

Iteros may make reasonable changes to:

  • lesson dates;
  • lesson times;
  • tutors;
  • Course sequence;
  • teaching format;
  • delivery platform; or
  • other organizational aspects of a Course,

where reasonably necessary for organizational, technical, pedagogical or circumstances outside Iteros' reasonable control.

Iteros will give Students reasonable notice where practicable. A change that does not materially reduce the overall educational service purchased does not by itself entitle the Student to a refund. Where Iteros materially reduces the paid-for Service and does not provide a reasonably equivalent alternative, the Student retains any remedies required by mandatory applicable law.

5.4 Tutor allocation

Iteros determines tutor allocation. A Student enrolled in individual tuition may request a tutor change. Iteros will consider the request reasonably but cannot guarantee that a particular tutor or alternative tutor will be available. Tutors assigned to group Courses cannot be changed at the request of an individual Student.

Article 6 – Course Duration and Repeat Attendance

6.1 Duration

The duration and access period of each Course or Service are specified on the relevant product page or communicated at the time of purchase.

Unless otherwise expressly agreed, unused individual tuition must be used within the stated Course validity period. Unused lessons remaining after expiry of the validity period are forfeited unless Iteros expressly agrees otherwise in writing.

6.2 Repeat attendance within one year

As an additional benefit to Iteros Students, a Student who has enrolled in an eligible group Course may request to repeat the same Course once within 12 months of the original Course start date, subject to the conditions in this Article.

Repeat attendance:

  • a. is subject to availability of places in a subsequent group;
  • b. applies to the same Course or, if that Course is no longer offered, to a reasonably equivalent Course determined by Iteros;
  • c. does not entitle the Student to a cash refund, credit or transfer to another person;
  • d. does not include renewed third-party licences, examination fees, books, external materials or other third-party products unless Iteros expressly states otherwise;
  • e. does not automatically extend the original validity of digital Platforms or licences;
  • f. may be provided in the format, schedule and structure applicable to the Course at the time of repetition; and
  • g. cannot be accumulated or repeated more than once unless Iteros expressly agrees otherwise.

The repeat option is an additional educational benefit and does not constitute a guarantee of any particular test score, admission outcome or academic result.

Article 7 – Digital Platforms and Technical Requirements

7.1 Platform access

Certain Courses include access to Iteros or third-party Platforms. The applicable access period will be stated on the relevant product page or communicated when the Platform is activated. Platform access is personal to the Student.

7.2 Student equipment

The Student is responsible for having suitable:

  • internet access;
  • computer or compatible device;
  • browser and software;
  • microphone;
  • camera, where required; and
  • any other ordinary equipment reasonably necessary to participate.

Iteros is not responsible for inability to participate caused by the Student's internet connection, equipment, software or other systems outside Iteros' control.

7.3 Third-party platforms

Some materials or Services may be delivered using third-party platforms. Such platforms may be subject to separate third-party terms.

Iteros is not responsible for temporary interruptions, changes or failures of third-party systems outside Iteros' reasonable control, but will use reasonable efforts to provide an appropriate alternative where such interruption materially affects delivery of the purchased Service.

Article 8 – Student Conduct

8.1 General behaviour

Students must behave professionally and respectfully toward tutors, staff and other Students. Harassment, threats, discrimination, hate speech, abusive behaviour, deliberate disruption or other serious misconduct will not be tolerated.

8.2 Classroom rules

Students must not:

  • make unauthorized audio or video recordings;
  • photograph or record other participants without permission;
  • distribute lesson recordings;
  • share Course Content;
  • permit another person to access a personal Iteros account;
  • disrupt lessons or communication channels;
  • impersonate another Student; or
  • use Course activities for unlawful purposes.

8.3 Removal or suspension

In cases of serious or repeated misconduct, infringement of intellectual-property rights, unauthorized sharing of Course Content or conduct that materially interferes with the rights or safety of other participants or Iteros personnel, Iteros may suspend or terminate the Student's participation.

Except where immediate intervention is reasonably necessary, Iteros will normally give the Student an opportunity to explain the circumstances. Where participation is terminated because of a material breach by the Student, no refund will be due for Services the Student loses as a consequence of that breach, except where mandatory law requires otherwise.

Article 9 – Cancellation by Iteros

9.1 Minimum enrolment

Iteros may cancel or postpone a group Course where an insufficient number of Students have enrolled.

9.2 Other cancellation

Iteros may also cancel a Course where delivery becomes impossible or unreasonable due to circumstances outside Iteros' reasonable control.

9.3 Student options

Where Iteros cancels an entire Course before providing it, the Student will be offered, as appropriate:

  • transfer to another suitable Course;
  • a credit acceptable to the Student; or
  • reimbursement of the amount paid for the cancelled Course.

Where part of the Service has already been supplied, any refund legally due may take into account the value of Services and separately supplied materials already provided, to the extent permitted by applicable law. No additional compensation will be payable merely because a Course has been cancelled, except where required by mandatory law.

Article 10 – Withdrawal and Refunds

10.1 General refund policy

Except where:

  • a. expressly provided in these Terms;
  • b. expressly included in the purchased product;
  • c. Iteros agrees otherwise in writing; or
  • d. required by mandatory applicable law,

fees paid to Iteros are non-refundable.

In particular, after expiration or lawful loss of any applicable statutory withdrawal right, no refund, credit or compensation is due merely because the Student:

  • changes their mind;
  • no longer wishes to participate;
  • fails to attend;
  • attends only part of a Course;
  • fails to complete assignments;
  • makes insufficient use of the Course or Platform;
  • experiences a change in personal, professional or academic circumstances;
  • books an examination but does not take it;
  • decides not to sit an examination;
  • does not obtain the desired examination score;
  • does not obtain admission to a desired institution; or
  • is otherwise unable to make full use of the Course for reasons not attributable to Iteros.

Nothing in these Terms limits mandatory statutory remedies available to Consumers where Iteros fails to perform its contractual obligations.

10.2 Distance contracts

Courses and Services purchased online or through other means of distance communication may constitute distance contracts under applicable consumer law. A Consumer generally has 14 days from conclusion of the contract to exercise the statutory right of withdrawal, unless an applicable statutory exception applies or the right has been validly lost in accordance with law.

10.3 Services commencing during the withdrawal period

Where the Consumer wishes Iteros to begin providing a service before expiration of the 14-day withdrawal period, Iteros may require the Consumer expressly to request immediate commencement.

If the Consumer subsequently exercises a valid withdrawal right after performance has begun, the Consumer may be required, where permitted by law, to pay an amount proportionate to the Service already supplied up to the date of withdrawal.

Where a service has been fully performed during the withdrawal period, the withdrawal right may be lost where the statutory requirements for prior express consent and acknowledgment have been satisfied.

10.4 Digital content

Where the purchase includes digital content not supplied on a tangible medium and the Consumer requests immediate access during the withdrawal period, Iteros may ask the Consumer expressly:

  • 1. to consent to supply beginning before expiry of the withdrawal period; and
  • 2. to acknowledge that commencement of supply may result in loss of the right of withdrawal in accordance with applicable law.

Loss of the withdrawal right in relation to digital content will apply only where the conditions required by mandatory law have been satisfied.

10.5 Exercise of withdrawal

A Consumer wishing to exercise a statutory right of withdrawal must send an unequivocal written statement to:

Email: admin@iteros.com

or another contact method expressly provided by Iteros for this purpose. The Consumer should identify:

  • their name;
  • the Course or Service purchased;
  • the purchase date; and
  • sufficient information to identify the order.

No reason for withdrawal is required.

10.6 Refund following valid withdrawal

Where a valid statutory withdrawal is exercised, Iteros will refund amounts due within the period required by applicable law, normally using the same payment method used for the original transaction unless otherwise agreed. Any lawful deductions for Services already supplied or other non-refundable components will be made only to the extent permitted by applicable law.

Article 11 – Admissions Consulting Services

This Article applies where the Student purchases admissions consulting.

11.1 Scope

The precise scope of the consulting package is stated in the relevant product description or written offer. Depending on the package, Services may include:

  • application strategy;
  • school or programme selection;
  • application planning;
  • CV or résumé review;
  • personal statement and essay review;
  • interview preparation;
  • scholarship strategy;
  • waitlist strategy;
  • application submission review; and
  • related advisory services.

11.2 Student authorship

Iteros provides strategic and editorial guidance. The Student remains responsible for the substantive authorship, accuracy and authenticity of their application.

Iteros will not:

  • invent personal experiences or achievements;
  • falsify information;
  • write recommendations in the name of third parties;
  • submit false information;
  • create fraudulent supporting documents; or
  • engage in conduct that would breach university rules or applicable law.

The Student remains ultimately responsible for reviewing and approving every application before submission.

11.3 Student cooperation

Admissions consulting depends on timely cooperation. The Student must:

  • provide accurate and complete information;
  • supply requested documentation;
  • respect agreed deadlines;
  • attend scheduled sessions;
  • respond reasonably promptly to communications;
  • inform Iteros of relevant changes in circumstances;
  • comply with university and programme deadlines; and
  • make final submissions and payments where these remain the Student's responsibility.

Iteros is not liable for missed deadlines caused by the Student's failure to provide information, documents, approvals or responses within the required time.

11.4 Admissions decisions

Admissions decisions are made exclusively by the relevant educational institution. Except where a specific written guarantee expressly applies under Article 11.7 below, Iteros does not warrant admission to any institution, scholarship, programme or course.

11.5 Service period

Unless otherwise specified in the relevant package, admissions consulting applies to the admissions cycle or application period identified at the time of purchase. Unused consulting Services expire at the end of that period unless Iteros agrees otherwise in writing.

11.6 Third-party costs

Application fees, examination fees, translations, certification costs, visa fees, tuition deposits, travel expenses and other third-party charges are not included unless expressly stated.

11.7 Money-Back Admission Guarantee – where expressly purchased

A money-back admission guarantee applies only where the relevant product or written offer expressly states that such a guarantee is included. It does not apply to admissions consulting generally.

Where such guarantee is expressly included, Iteros will guarantee admission to at least one of the institutions/programmes on the final written list agreed between Iteros and the Student, subject to all conditions below.

The guarantee relates only to the amount expressly allocated to the admissions consulting component of the package. Test-preparation fees, third-party products and other Services are excluded unless the written offer states otherwise.

The Student qualifies for the guarantee only if all of the following conditions are satisfied:

  • a. Agreed application list — The Student must apply to all institutions/programmes on the final list agreed in writing with Iteros. The agreed list must remain within the range Iteros considers reasonably appropriate to the Student's profile.
  • b. Agreed application rounds — Applications must be submitted within the rounds agreed with Iteros and, unless expressly agreed otherwise, within no more than two consecutive application rounds.
  • c. Full cooperation — The Student must substantially follow the agreed application strategy, timelines and reasonable recommendations provided by Iteros.
  • d. Deadlines — The Student must respect both Iteros' internal deadlines and the deadlines imposed by institutions.
  • e. Academic and test requirements — Where the agreed strategy requires particular academic, language or standardized-test results, the Student must achieve the agreed minimum results within the agreed timeframe and provide evidence of them.
  • f. Application review — The Student must give Iteros a reasonable opportunity to review the application materials covered by the consulting package before submission and must appropriately address material feedback agreed during the consulting process.
  • g. Communication — The Student must respond to material requests from Iteros within the agreed timeframe and must promptly notify Iteros of admissions decisions and material changes affecting the applications.
  • h. Accuracy and integrity — All information supplied by the Student must be truthful. Plagiarism, fabrication, falsification, material misrepresentation or deliberate withholding of relevant information invalidates the guarantee.
  • i. Payment — All fees due to Iteros must have been paid in full and on time.
  • j. Other admissions consultants — Unless Iteros expressly agrees otherwise, the Student must not simultaneously engage another professional admissions consulting provider in relation to the same applications covered by the guarantee.
  • k. Evidence of outcome — To claim under the guarantee, the Student must provide Iteros with the formal admission or rejection outcomes for all institutions/programmes included in the agreed list.

11.8 Guarantee claim

A guarantee claim must be submitted in writing within 30 days after the final admissions decision relevant to the agreed application list, together with the documents reasonably required to verify eligibility.

Iteros will assess the claim using the records of the consulting process, communications, application documents and admissions outcomes. Where the conditions are satisfied, the eligible refund will be processed within 60 business days of receipt of the complete claim documentation.

Article 12 – Intellectual Property

12.1 Licence

Subject to compliance with these Terms, Iteros grants the Student a limited, personal, non-exclusive, non-transferable and revocable right to use Course Content for the Student's own educational purposes during the applicable access period. No ownership rights are transferred to the Student.

12.2 Protected material

Course Content may be owned by Iteros, MODULUS FCT SRL or third-party licensors and may be protected by copyright, database rights, trademark rights and other intellectual-property laws.

12.3 Prohibited use

Without prior written permission, the Student must not:

  • copy;
  • reproduce;
  • distribute;
  • publish;
  • resell;
  • sublicense;
  • upload;
  • broadcast;
  • screen-share to third parties;
  • record;
  • photograph;
  • scrape;
  • systematically extract;
  • commercially exploit;
  • create unauthorized derivative materials from; or
  • provide another person with access to

any Course Content or Platform. Login credentials must not be shared.

12.4 Enforcement

Where Iteros reasonably believes that a Student has materially infringed these obligations, it may immediately suspend access while investigating. A confirmed material infringement may result in permanent termination of access without refund, without prejudice to any other rights or remedies available under applicable law.

Article 13 – Recordings and Student Content

13.1 Class recordings

Online group lessons may be recorded for educational purposes where this has been disclosed to participants and processed in accordance with applicable data-protection requirements.

Where recordings are made available to Students, they remain Course Content and may not be downloaded, shared, reproduced or distributed except where Iteros expressly permits this.

13.2 Student materials

Ownership of original documents or other materials created by the Student remains with the Student. The Student grants Iteros such limited rights to access, store, reproduce internally and process those materials as are reasonably necessary to provide the contracted Services.

Iteros does not acquire ownership of the Student's application essays, CV, personal statements or other original work merely because they are submitted for review.

13.3 Testimonials and promotional use

Student names, images, testimonials, application materials or other identifiable content will not be used for public promotional purposes merely by virtue of acceptance of these Terms. Where consent is legally required for such use, Iteros will request it separately.

Article 14 – Liability and Results

14.1 Educational nature

Iteros undertakes to provide the purchased Services with reasonable professional care. However, educational results depend on numerous factors outside Iteros' control, including Student participation, prior knowledge, study effort, examination performance and decisions taken by third parties.

Except where an express written guarantee applies, Iteros does not guarantee:

  • a particular examination score;
  • admission to a university or programme;
  • a scholarship;
  • employment;
  • visa approval; or
  • any other specific outcome.

14.2 Third parties

Iteros is not responsible for decisions, changes or acts of universities, examination bodies, payment providers, Platform providers, government authorities or other independent third parties.

14.3 Mandatory liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory Consumer rights.

14.4 Student-caused loss

Iteros is not responsible for loss caused by:

  • inaccurate information supplied by the Student;
  • failure to follow material instructions;
  • missed deadlines attributable to the Student;
  • failure to attend;
  • Student equipment or connectivity problems;
  • misuse of Platforms; or
  • unauthorized action by the Student.
Article 15 – Force Majeure and Events Outside Iteros' Control

Iteros will not be responsible for delay or failure caused by events outside its reasonable control, including major telecommunications failures, widespread Platform outages, natural disasters, government measures, strikes, epidemics, serious illness or incapacity of essential personnel, civil emergencies or comparable events.

Where such an event occurs, Iteros may reasonably:

  • reschedule lessons;
  • replace a tutor;
  • change delivery format;
  • extend the Course period; or
  • provide an equivalent alternative.

If performance becomes permanently impossible, the parties' rights will be determined in accordance with applicable law and the portion of the Service already provided.

Article 16 – Privacy and Data Protection

Personal data is processed in accordance with applicable data-protection law, including Regulation (EU) 2016/679 (“GDPR”), and the Iteros Privacy Policy.

The data controller is:

MODULUS FCT SRL
Corso di Porta Nuova 16
20121 Milan, Italy
Privacy contact: admin@iteros.com

The Iteros Privacy Policy provides further information concerning the purposes and legal bases of processing, retention, data-subject rights, recipients and any international transfers.

Marketing communications are governed by the applicable consent and privacy settings and are not made a contractual condition of purchasing a Course unless permitted by law.

Article 17 – Changes to These Terms

The Terms applicable to a purchase are those accepted when the relevant contract is concluded. Iteros may update these Terms for future purchases.

Changes will not retroactively alter an existing Consumer contract unless:

  • the change is required by law;
  • the change is objectively necessary for technical or security reasons and does not materially prejudice the Consumer; or
  • the Consumer expressly agrees.
Article 18 – Governing Law and Disputes

18.1 Applicable law

These Terms and contracts entered into under them are governed by Italian law. Where the Student is a Consumer habitually resident in another jurisdiction, this choice of law does not deprive that Consumer of mandatory protections that would apply under applicable conflict-of-law rules.

18.2 Consumer jurisdiction

For Consumers, jurisdiction shall be determined in accordance with mandatory applicable consumer and procedural law.

18.3 Non-consumer customers

Where the contracting party is not a Consumer, the Court of Milan shall have exclusive jurisdiction, to the extent permitted by law.

18.4 Amicable resolution

Before commencing formal proceedings, the parties are encouraged, but are not obliged unless mandatory law provides otherwise, to attempt to resolve disputes by contacting Iteros at: admin@iteros.com

Any statutory right of a Consumer to use an applicable alternative dispute-resolution procedure remains unaffected.

Article 19 – General Provisions

19.1 Entire agreement

These Terms, together with the relevant order, product description and any expressly incorporated written terms, constitute the contract between Iteros and the purchaser concerning the relevant Service.

19.2 No waiver

Failure by Iteros to enforce a contractual right on one occasion does not constitute a waiver of that right on another occasion.

19.3 Severability

If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted by law. Where possible, the invalid provision shall be interpreted or replaced in a manner that most closely reflects its lawful commercial purpose.

19.4 Assignment

The Student may not transfer their Course, account, rights of attendance or Platform access to another person without Iteros' prior written consent. Iteros may transfer the contract as part of a corporate restructuring, merger, business transfer or similar transaction, provided that this does not reduce mandatory Consumer rights.

19.5 Written communications

Where these Terms require a notice to be given in writing, email is sufficient unless mandatory law requires another form.

Article 20 – Acceptance

By completing a purchase, the purchaser confirms that:

  • 1. they have had the opportunity to read these Terms before entering into the contract;
  • 2. they accept these Terms;
  • 3. the information supplied during enrolment is accurate; and
  • 4. where applicable, any separate express consents concerning immediate commencement of Services or supply of digital content during the statutory withdrawal period have been given through the relevant purchasing process.
